Welcome to InstaSwitch! These Terms of Service ("Terms") govern your access to and use of the InstaSwitch website, services, and products (collectively, the "Service"). By using our Service, you agree to these Terms.

1. Acceptance of Terms.
By accessing or using InstaSwitch, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. About InstaSwitch.
InstaSwitch, Inc. is a technology company headquartered at 53 Boerum Place, Apt 7k, Brooklyn, NY, 11201. We work with business banking platforms and provide a service to their users. Our solution can be hosted or embedded, offering flexibility to meet the needs of our partners. InstaSwitch eliminates the complexity and time required for businesses to switch bank accounts. By automating the update of account details across revenue sources, payroll, and recurring payments, InstaSwitch removes friction and increases customer engagement. Our solution provides clear visibility into external account inflows and outflows, identifies optimal timing for transitions, and offers guided or automated updates. We are advancing towards full automation to further streamline this process.

3. Description of Services.
The InstaSwitch Application automates switching, moving revenue sources, payroll, and payments to boost deposits. InstaSwitch converts unfunded accounts into fully adopted, revenue-generating users by making switching effortless. Effortless switching = More Deposits. The core features of this product include:
Visibility: Securely connects with financial accounts, providing a complete snapshot of linked revenue sources, payroll providers, and recurring payments to be updated.
Guided Order: Generates a prioritized roadmap for switching, ensuring the timing aligns with cash flow and business operations.
Execution: For manual updates, clear guidance minimizes errors and delays. InstaSwitch maintains a deep list of 350 business tools across revenue sources, payroll, and recurring payments. In the future, InstaSwitch will automatically update accounts alongside the user.

4. Principal Service Commitments and System Requirements.
InstaSwitch, Inc. designs its processes and procedures to meet its objectives. These objectives are based on service commitments made to user entities, compliance with applicable financial regulations, and the operational and security requirements established for the services.

Security and Compliance Commitments
Compliance with applicable financial regulations, including KYC (Know Your Customer) and AML (Anti-Money Laundering) where required. Use of encryption technologies to protect customer data both at rest and in transit. Operational procedures for managing security incidents and breaches, including notification procedures. Role-based access controls ensuring users are granted the minimum necessary permissions. Annual security audits and vulnerability assessments to maintain compliance and protect user data.

5. Eligibility
You must be at least 18 years old and capable of forming a binding contract to use our Service. By using InstaSwitch, you represent and warrant that you meet these requirements.

6. User Accounts
To use certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and all activities under your account.

7. Permitted Use
You agree to use InstaSwitch solely for lawful purposes and in compliance with all applicable laws and regulations. You may not: Use the Service for fraudulent or unauthorized purposes; Interfere with or disrupt the Service; Attempt to gain unauthorized access to any portion of the Service.

InstaSwitch does not guarantee refunds unless explicitly stated in a separate agreement. Users are responsible for all applicable taxes and charges associated with the Service.

Your use of the Service is also governed by our Privacy Policy, which outlines how we collect, store, and protect your data. InstaSwitch complies with applicable financial regulations and industry standards for data protection. We implement security measures including: Encryption of sensitive data both in transit and at rest; Secure storage and processing of personally identifiable information (PII); Secure authentication and access controls; Regular security audits and monitoring.

10. Intellectual Property
All content, trademarks, and intellectual property associated with InstaSwitch remain the exclusive property of InstaSwitch or its licensors. You may not reproduce, distribute, or modify any part of our Service without prior written permission.

11. Disclaimers and Limitation of Liability
The Service is provided "as is" and "as available" without warranties of any kind. InstaSwitch does not guarantee successful completion of bank account switching and is not responsible for any direct, indirect, incidental, or consequential damages resulting from delays, failures, or errors in the switching process. Users are responsible for verifying updates and ensuring accuracy before completing transactions.

12. Indemnification
You agree to indemnify and hold InstaSwitch harmless from any claims, losses, liabilities, and expenses arising from your use of the Service or any violation of these Terms.

13. Termination
We reserve the right to suspend or terminate your access to the Service at our discretion if you violate these Terms or engage in prohibited activities. Users may terminate their service by contacting InstaSwitch support. Upon termination, user data may be retained for compliance with legal and regulatory obligations, but access to the Service will be revoked.

Infrastructure.
InstaSwitch, Inc. maintains a secure and scalable infrastructure, leveraging cloud-based solutions to ensure high availability and data protection. Key infrastructure components include:
AWS EC2: Cloud computing infrastructure for scalable deployment.
AWS Load Balancers: Manage internal and external traffic to optimize performance.
Virtual Private Cloud (VPC): Secure network perimeter with controlled access.
Amazon RDS: Secure database storage with encrypted backups.
S3 Buckets: Encrypted storage for user-uploaded data.

Compliance and Risk Management.
Access Control:
Role-based access management and periodic access reviews.
Data Communications: Encrypted communications for all user data transfers.
Change Management: Secure deployment and version control procedures.
Incident Response: Documented processes for detecting, responding to, and mitigating security incidents.
